Terms and Conditions of Use for SaaS Application
The following Terms and Conditions ("Agreement") govern the use of Interview ("Service") provided by the provider, under the laws of Quebec, with its head office in the province of Quebec, Canada.
1. Acceptance of Terms
By accessing or using the Service, you ("Client") irrevocably accept these terms and conditions. Use beyond the scope of this Agreement constitutes a breach and may result in immediate termination.
2. Subscription and Licence
Licence Grant
- A limited, non-exclusive, non-transferable, revocable license to use the Service
- License strictly limited to authorized users as defined in the subscription where appropriate
- Prohibited from sharing access with third parties, including corporate affiliates
Subscription Terms (where appropriate)
- Initial term of one (1) year from first invoice date
- Automatic renewal for successive twelve-month periods
- Cancellation requires written notice three months before term expiry[7]
3. Fees and Payment (where appropriate)
Payment Terms
- All fees payable in full without deduction
- Minimum annual increase of 3% regardless of inflation rate
4. Data and Privacy
Data Ownership
- Client retains ownership of all data entered into the Service
- Client can request all their data be supplied to them.
- Data stored in secure facilities with regular backups
- Client uses this service at their own risk
5. Service Level Agreement
Service Availability
- Provider makes no assurances or guarantees around service availability
6. Limitation of Liability
Provider's liability shall be limited to:
- Direct damages only
- Maximum of any fees paid in previous 1 month
- Exclusion of indirect, consequential damages
7. Termination
Termination Rights
- Provider may terminate for breach
- Data retrieval period post-termination of one month
- Data deletion can be requested within data-retrieval period
8. Intellectual Property
- Provider retains all rights to Service
- Client retains rights to their data
- The Licensee shall not, directly or indirectly, engage in any form of reverse engineering, including but not limited to: (i) decompiling, disassembling, or otherwise attempting to derive the source code, underlying ideas, algorithms, structure, or organization of the Software; (ii) analyzing or examining the Software's operation, functionality, or internal components through any technical means; (iii) creating derivative works based on the Software or any portion thereof; and (iv) attempting to reconstruct, identify or discover any source code, underlying algorithms, ideas, file formats, or programming interfaces of the Software by any means whatsoever. This prohibition applies regardless of the method employed, whether manual, automated, or through the use of third-party tools or technologies, except and only to the extent that such activities are expressly permitted by applicable law notwithstanding this limitation. In jurisdictions where such activities may be permitted for interoperability purposes, Licensee must first obtain written authorization from Licensor and demonstrate that no alternative means of achieving interoperability are available.
9. Governing Law
This Agreement shall be governed by Quebec law, and parties submit to the exclusive jurisdiction of Quebec courts in the Montreal district.
10. Confidentiality

11. Force Majeure
Provider not liable for failures due to circumstances beyond reasonable control.
12. Modifications
Provider reserves the right to modify these terms with 30 days notice.
